YTW Growth Capital Corporation Announces New Venture With Cameron Thomson Group Ltd.

TORONTO, Canada — November 14, 2006 — YTW Growth Capital is pleased to announce it has enjoined the services of Cameron Thomson Group ("CTG"), a pre-eminent international outsourced business company with expertise in the Media, Entertainment and Technology Sectors, to assist YTW Growth Capital in commercial assessment, financing and business development activities in areas of common interest to the mutual benefit of both organizations.

YTW Growth Capital brings public market, expansion capital and capital markets expertise as well as strategic insight to growing mid-sized companies. Through the efforts of the founders, an initial fund was raised from 35 experienced corporate executives to form the YTW Growth Capital Limited Partnership, which is now fully invested. The focus of the YTW Growth Capital Limited Partnership was high growth companies that were candidates to take advantage of the Capital Pool Company program of the TSX Venture Exchange.

The YTW Growth Capital Cauldron Fund and YTW Growth Capital Limited Partnership II are currently being raised. These funds are to be used as seed and expansion financing for companies at or near the “breakout” stage of growth. The investment program introduces investors who have an abundance of financial-market experience, to entrepreneurs whose fast growing companies require capital and corporate development or strategic management expertise.

YTW Growth Capital expects to focus on the following sectors:

YTW Growth Capital’s investments currently range from the wireless communication market to the distance learning market.

CTG, with offices in Toronto, Milan and London, has extensive experience working with media and entertainment companies in Europe and North America to assist them in raising financing and deploying their material across a variety of platforms (cable, satellite, broadband, mobile, DTT and DVB-H) to generate new revenues. Working closely with technology companies, CTG has exposure to a broad spectrum of opportunities of next-generation enabling technologies that will influence the way telecommunications companies, mobile carriers, and distribution companies will distribute content and monetise their rights in the near, mid, and long-term.
